In addition, we will not and cannot censor or edit the content of any third-party site. BY USING THE SITE YOU EXPRESLY AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS US LOGISTICS AND ITS MEMBERS, SHAREHOLDERS, MANAGERS, DIRECTORS, EMPLOYEES, LICENSORS, ATTORNEYS, OWNERS, OPERATORS, AFFILIATES, PREDECESSORS, SUCCESSORS, ASSIGNS, INSURERS, OR AGENTS FROM ANY CLAIMS, SUITS, LIABILITIES, LOSSES OR EXPENSES (INCLUDING ACTUAL ATTORNEYS’ FEES) WHICH ARISE FROM THIRD PARTY CLAIMS RELATING TO USE BY YOU OR ANY OTHER PERSON ACCESSING THE SITE THROUGH YOUR ACCOUNT.

The results are not guaranteed to be accurate and are in no way endorsed, offered or guaranteed by US Logistics.
2. US Logistics does not provide links from its website(s) to external sites except as specified by business or contractual relationships with partners/sponsors and select information providers.
3. Permission to create a link to the Site is granted upon compliance with the conditions described in this Policy. By creating a link to any of the Sites, you agree to be bound by the terms stated in this Policy. US Logistics reserves the right to change these conditions at any time without prior notice, and compliance with such revised terms is a prerequisite to your continued right to link to the Sites.

Limitation of Liability

THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE STATE OF MICHIGAN. IN NO EVENT SHALL US LOGISTICS BE RESPONSIBLE FOR ANY VIOLATION OF THIS POLICY OR ANY DAMAGES DIRECTLY OR INDIRECTLY SUFFERED BY YOU AS A RESULT OF YOUR ACTIONS. The Site is controlled and offered by US Logistics from its facilities in the United States of America. US Logistics makes no representations that the Site is appropriate or available for use in other locations. Those who access or use the Site from other jurisdictions do so at their own volition and are responsible for compliance with local law in Michigan and the United States of America.

Indemnity

You agree to defend, indemnify and hold harmless US Logistics, and its parents, subsidiaries, shareholders, members, directors, managers, officers, employees agents, successors and assigns, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys’ fees) arising from (i) your use of or access to the Site; (ii) your violation of any provision of this Policy; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive this Policy and your use of the Site.

Ability to Accept Terms of Use

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. In any case, you affirm that you are over the age of 13, as the Site is not intended for children under 13. Assignment

This Policy and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by US Logistics without restriction.

Non-Disparagement

You shall not make any communication that is intended or reasonably understood to disparage, criticize, condemn, or impugn the personal, professional, or business reputation of the Site, US Logistics, and US Logistics’ shareholders, members, directors, managers, officers, employees, licensors, attorneys, operators, affiliates, predecessors, successors, assigns, insurers and/or agents, including without limitation any communication that could have the effect of or intention of which is to cause embarrassment, disparagement, damage or injury to the reputation, business, or standing in the community of any such parties and regardless of whether any such communication is or may be true or founded in facts.

Privacy

We do not use, sell or rent your personal information to non-affiliated third parties for their marketing purposes without your explicit consent, except as provided in the Data Protection Statement. We use your information only as described in the Site’s Data Protection Statement. You can access and modify the information you provide us and choose not to receive certain communications by modifying your preferences. Relationship of the Parties

You and we are independent contractors, and nothing in this Policy will create any partnership, joint venture, agency, franchise, sales representative relationship, or employment relationship between you and us or our respective affiliates. You will have no authority to make or accept any offers or representation on our or our affiliates’ behalf. You agree not to make any statement, whether on your website, its subdomains or otherwise, that contradicts or may contradict anything in this section.

Miscellaneous Provisions

By using or registering to use the Site and/or the services provided by the Site, you agree this Policy shall be governed by the substantive laws of the State of Michigan, without respect to its conflict of law principles. Except for the equitable enforcement of this Policy, any claim or dispute between you and US Logistics or its affiliates with respect to this Policy shall be decided exclusively through the procedures and policies of the American Arbitration Association unless other procedures are agreed upon in writing by US Logistics. Venue for such hearings shall be in Oakland County, Michigan. The cost of arbitration shall be split equally between the parties, except that each party shall bear its own attorneys’ fees. These Terms of Use, the Site Privacy Policy, and any other legal notices published from time to time by US Logistics on the Site or otherwise, shall constitute the entire Policy between you and US Logistics concerning your registration and use of the Site. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Policy (including the Privacy Policy), which shall remain in full force and effect. No wavier of any term of these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and US Logistics’ failure to assert any right or provision under this Policy shall not constitute a waiver of such right or provision. US Logistics reserves the right to amend these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for changes that may occur. Your use of the Site following any amendment of these Terms of Use will signify your assent to and acceptance of its revised terms. You may be asked to provide feedback regarding the Site and hereby grant the Site a perpetual, royalty-free, unlimited license to use and/or incorporate such feedback into the website or any other product or service of the Site. DATA PROTECTION STATEMENT

General

US International Logistics, Inc. (throughout these Policy of use and data protection statement referred to as “US Logistics”) grants the right to use this website solely on the basis of these Policy of use and this data protection statement (throughout referred to as the “Policy”). This Policy explains the procedures followed by US Logistics when collecting and using data in accordance with the provisions of the German Federal Data Protection Act (Bundesdatenschutzgesetz) and other applicable international data protection laws.

If you intend to submit a personal questionnaire or other personal data using US Logistics website, you will be required to submit personal information that will be processed by US Logistics. In order for this to occur in accordance with the law, you must expressly consent to the user, collection, storage of, and processing of your personal data by US Logistics. Please read through this Policy carefully before using the online personal questionnaire. If you do not consent to this Policy or to the procedures described herein you should refrain from making any online submissions of your personal data.

By submitting any personal data via the personal questionnaire or any online form on US Logistics website, you knowingly, voluntarily, and expressly consent to US Logistics collecting, storing, and processing your personal data. You further consent to the transmission of your personal data from US Logistics to its affiliated companies in fulfilment of US Logistics’ data collection purposes.

Purpose and Type of Data

US Logistics collects personal data only for the purpose of executing employment and personnel agreements, and specifically for purposes concerning payroll accounting, optimal use of resources, and for personnel controlling and coordinating. Data is not used for any other purposes. The personal data which US Logistics requires to fulfill this purpose includes specific information necessary for executing services agreements, information from employment application documents, personal questionnaire answers (including, but not limited to, your name, date of birth, pervious employment, references, titles), results from interviews, and other employment related information gathering techniques. The user or the person inputting the personal data is alone responsible for data integrity.

Handling of Personal Data

As a matter of principle, US Logistics attaches major importance to the protection of personal data. US Logistics does not sell any personal data to third parties, and ensures that your data is handled responsibly. US Logistics records, processes and uses only such data as are necessary to enable it to meet its obligations and purposes. There is no further use of personal data for other purposes. Once your personal data is no longer necessary to fulfill US Logistics’ employment purposes, it will be erased and no longer retained by US Logistics.

The data collected by US Logistics may be made available to other affiliated companies, including the affiliated companies abroad in EU- and non-EU countries, such as the United States of America. In particular personal data may be transferred to Top Gun, Inc., affiliated entities within the meaning of sec. 15 Stock Corporation Act, clients of US Logistics that you will be providing services to, and US Logistics payroll provider.

You may request to inspect and correct any stored personal data free of charge. In addition, you may request correction and/or deletion of personal data recoded by US Logistics. You may revoke your consent to the user of your personal data at any time in the future. Revocation must be sent in writing to US Logistics, to the physical address identified in this Policy.

Liability

US Logistics has taken measures using appropriate physical, electronic and organizational procedures to protect your data against loss, misuse or amendment. US Logistics does not assume any responsibility for its website and server being free from computer viruses or other harmful mechanisms or for the content of its website being correct, complete and up-to-date. US Logistics reserves the right to modify, amend, and alter this Policy in order to remain in compliance with the German Federal Data Protection Act, and any other applicable law, or otherwise its in sole and exclusive discretion.

You are liable for all detriments to US Logistics arising from any submission of personal data which is false, misleading, dishonest, or untrue, or any misuse or illegal use of the website, or if you fail to meet your obligations under this Policy. If a third-party claim is filed against US Logistics as a result of your breach of duty under this Policy, you must release and hold US Logistics harmless from all claims or pay compensation to US Logistics (including reasonable attorney’s fees).
